Introduction

•  Purpose of the terms and conditions

Welcome to GoZaak Inc online platform. By accessing and using our online platform, including the website, the application and any other Gozaak Inc. service, where our Terms and Conditions are posted via link, you automatically acknowledge and agree that you are subject to our Terms and Conditions agreement, our Privacy Policy and our Cookie Policies which govern your use of our platform. You also acknowledge and agree that you are at least 18 years of age, and are authorized to use the Gozaak Inc. platform. The goal of our Terms and Conditions agreements is for you to understand what our company has to offer and to provide a binding legal agreement between Gozaak Inc. users and Gozaak Inc. business. The Terms and Conditions also protect user rights to use our website, our mobile applications and everything Gozaak Inc. has to offer and contains important information about limitations of liability and information regarding dispute resolution through arbitration. We advise you to read the following agreement carefully.

•  Acceptance of the terms and conditions

IMPORTANT: You acknowledge and agree that you have read our Terms and Conditions carefully and have entered into our agreement voluntarily after evaluating all the information set forth in this Agreement. If you do not agree to all the terms and conditions of the Terms and Conditions Agreement, unfortunately you may not use Gozaak Inc. online website, our applications or any other services that we offer. 

•  Changes to the terms and conditions

Supplemental terms and conditions, and any additional documents that may be posted on the site from time to time are hereby incorporated by reference. We reserve the right, at our sole discretion, to make changes or modifications to these terms of use at any time and for any reason. We will inform you about any changes by updating the "Last updated" date of these terms of conditions. We may send out a notification via electronic communications, although you agree to waive any right to receive specific notice of any changes made. Please check the applicable terms every time you use our site so that you understand which terms apply. If you continue using our platform after the date of revised terms of conditions have been posted, you automatically acknowledge and agree to the revised changes in the most recently updated terms of conditions.

•  Electronic communications and notices

By using our online platform and communicating with us through our online system, you consent to receiving electronic communications from us. These communications include agreements, notices, disclosures, and other messages that we provide to you electronically. These electronic communications satisfy any legal requirement for them to be in writing. You agree to use electronic signatures, contracts, orders, and other records, and to accept electronic delivery of notices, policies, and records of transactions initiated or completed through the platform or by us. You waive any rights or requirements under any laws that require an original signature in writing. You waive any rights or requirements under any laws that require the delivery or retention of non-electronic records. You agree to conduct direct payments through our electronic platform only.

Terms Applicable to Hosts

When you sign up to host on Gozaak Inc. you give us full rights to represent your space on our platform. If you would like to learn more about your privacy rights, please proceed to our Privacy Notice.

Registration Process: If you would like to list your space on Gozaak Inc. you must register with a username and a password. You are responsible for the confidentiality of this information and must notify us immediately in case you notice any suspicious account activity. Once you log in, you may verify your account within 30 days by email, phone number or with social media. Please note that in order to have your listing published and verified you may be required to provide valid verification of your government-issued identification with your picture on it, such as driver's license, or passport ect. Failure to verify your account may result in suspension of your listing or of Gozaak Inc. Services to you.

Booking Agreement: Guests agree to accept Gozaak Inc.’s terms and conditions and hosts’ Rental Agreement, once they confirm the booking and complete the transaction. That agreement will serve as a binding contract between both parties and you agree to provide the most accurate description of your property and/or its inventory (see. Listing and Inventory Description below). You agree not to ask Guests to sign any additional agreements upon arrival or outside of Gozaak Inc. platform. Your failure to honor the original Agreement might result in Guests’ canceling the booking reservation. Once again, Gozaak Inc. is not responsible for collecting any additional signatures or seeking authorizations after they have already accepted the original Agreement on our platform. 

Booking Confirmation: Please keep in mind that Gozaak Inc. will send you a confirmation notice once a Guest agrees to your terms and booking is complete. However, Gozaak Inc. is not responsible for your communications regarding a booking or any negotiations with a potential Guest. 

Listing and Inventory Description: You acknowledge and agree that the information you provide regarding your listing and/or it’s inventory is correct and up-to-date including but not limited to: name, address, emergency contact numbers, property description, applicable fees (including cleaning fees, deposit fees, pet fees and etc.), cancellation policy and fees, smoking restrictions, COVID policy, check-in and check-out instructions, Housing and Condo rules, inventory restrictions placed by you, physical conditions of inventory, any damages or scheduled maintenance coming up, or any other information that you believe a Guest must know in order to proceed with the booking. Gozaak Inc. is not responsible for any inaccurate information listed on your space description. You are also responsible to provide a safe and quiet environment for your Guests, so they may enjoy their time at premises booked. 

Pricing and Fees: You are responsible to establish a rate for your listed space, including a deposit, any taxes, extra pet fees, cleaning fees, seasonal rates, promotional discounts, or any other additional fee you would like to include. Once a Guest accepts your rental agreement, you will be binded by that contract with a Guest and you acknowledge and agree further to honor the rate and not alter it. You also agree to not market your listed space on any other platforms at a lower Rate than the one offered to Gozaak. Inc. Guests. In case a Guest or Gozaak Inc. discovers that information, you agree to match the lower price that was published on another platform for a Guest. 

Calendar Availability: You are responsible as a Host to provide an accurate calendar availability and constantly update it if there are any changes to your schedule (such as maintenance block, personal usage block, or any other blocks in your schedule that would make the listed space unavailable for potential guests). Our platform will automatically collect that information and update your listing availability on our platform. 

Guest’s Complaints and Disputes: Gozaak Inc. is not liable for any Guest’s complaints. In case there is any reasonable complaint, you agree to address Guest’s concerns and complaints promptly, including but not limited to: damaged items, pest problems, pet stains, stained linens, bed bugs, unkempt facility, unquiet space, etc. You can issue a refund in case a Guest leaves the property at the check-in and chooses a different booking facility, you may offer a discounted rate, or you can resolve a complaint in any other way that would benefit both parties. However, if your account continues receiving complaints from Guests, Gozaak Inc. reserves the right to fully suspend our Services to you until all complaints are resolved or permanently delete your account if there are no actions taken to improve listing quality and Guest service.  

Gozaak Inc. Liability Release: Guests are solely responsible for any damages done to the rental space or its inventory. You acknowledge and agree that Gozaak Inc. can not be held liable for any damages or losses done by Guests. You agree to never attempt to impose any liability on Gozaak Inc., or file any claims against us demanding damages of every kind and nature, including suspected or unsuspected, intentional or unintentional, disclosed or undisclosed, from past or preset booking or any other possible damages resulting from the use of our Services. 

Host’s Damage Claims: Hosts reserve the right to open a “Damage Claim” within 48 hours of the event end time, report any damages with the documentation and notify Gozaak Inc. to seek the compensation. You must provide sufficient evidence that guests (including children and pets) damaged the personal property. GoZaak may act as a mediator between the parties to assist in the resolution of the Damage Claim. However, Gozaak shall not be liable for any claims, damages, or expenses arising out of or in connection with the Damage Claim or the mediation process. Gozaak Inc. will further notify the Guests about the impending Damages Claim charges and will notify the Host whether the Guest agrees to pay the Damage Claim. We hope that the Guest agrees to cooperate in good faith and will take further action necessary to resolve the Damage Claim. In case the Guest refuses to pay damage fees, the matter will be transferred to a collection agency, arbitration or the courts for resolution.

Cleaning Fees: Hosts have the right to add a Cleaning Fee to their listing price. We ask kindly that Guests treat a rental space and its inventory with respect and encourage them to tidy up after a booking has ended. Please keep in mind that basic Cleaning Fees, such as trash removal, linens change, space cleaning etc.) will be included in the reservation fee. But a Host might require additional Cleaning Fees after assessing the wear and tear of the personal property after the event has ended. 

Identity Verifications: Hosts may be asked to provide government issued identification to have their listing verified in order to keep the platform safe and truthful. When checking into listings that are qualified as 21+ Gozaak reserves the right and may ask guests to provide a valid government-issued identification, driver's license, or passport to confirm their identity and age prior to the check-in. Gozaak may wish to ask for identity proof at any time. Failure to do so, may result in permanent account suspension. By providing such identification, you are agreeing to comply with any and all applicable laws and regulations and acknowledge that any false or misleading information provided is subject to penalty.

While Gozaak Inc. reserves the right to but is not liable for conducting any background checks on your Guests, including but not limited to: criminal and civil background checks, drug screening, sexual offense, education check, social media investigation and other types of background checks.

Terms Applicable to Guests

Registration:(i) In order to access certain features of the GoZaak website or application, you may be required to register for an account by providing certain personal information, including, but not limited to: your name, email address, and a password. (ii) You may need to present a valid form of your passport, driver's license, or other government-issued identification as part of the registration procedure. Your account can be terminated if you fail to submit such verification. (iii) During the registration process, you are responsible for providing accurate, current, and complete information. You must also maintain this information updated to keep it accurate, current, and complete. If any information supplied during the registration process or subsequently does turn out to be false, outdated, or incomplete, we retain the right to terminate your account. (iv) You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password. (v) You certify that you are of legal age to enter into this agreement and that you are at least the age of majority in your jurisdiction by registering for an account. (vi) You indicate that you have read and agreed to the terms and conditions of use and the privacy policy that apply to your use of the website or application by creating an account.

Booking Requests and Confirmations: You must be a registered Guest user on Gozaak Inc. platform and verify an account at least by email in order to send booking requests to other users (Hosts). Once the Host accepts your booking request you will automatically enter into a legally binding agreement between you and the Host or Vendor Service. Please keep in mind that this agreement may include additional terms established in the listing description and you agree and acknowledge those extra terms when confirming the booking. You will be granted temporary and revocable license to use and occupy the listed space subject to all terms described in the listing description for the time period, price and additional fees agreed upon. You can not use the booked space beyond the reserved time period. Hosts may reserve the right to enter the space if specified in the booking description. You are responsible for paying the price agreed upon with the Host and any additional service fees (such as Gozaak Inc. fee, taxes, cleaning fees, pet fees, and etc.). You are able to see the price breakdown before you confirm the final payment. We advise you to read carefully Hosts and Vendor’s listing description, pricing terms, and availability prior to booking the listed space. We also encourage you to get in touch with the Host or Vendor directly prior to requesting the booking. You can discuss and negotiate additional terms if you want any extra services or features provided. Once the booking is confirmed between both parties, Gozaak Inc. will deduct our service fees if there are any applicable. You will see the price breakdown prior to confirming your booking and making the final payment.

Cancellation Policy applicable to Guests: All of the bookings are subject to our Cancellation and Refund policy. Please refer to our Cancellation and Refund Policy where you can learn more about different types of refunds in the event of cancellation. Last minute cancellations or cancellations that fall under moderate and non-refundable categories will be subject to Host fees. Please read the Cancellation Policy for each listing carefully before confirming your booking. If you still would like to cancel the booking, please go ahead and use the “Cancel Reservation” option on our platform. If you communicate with the Host or Vendor directly through text messaging or calling, Gozaak Inc. will not be able to issue a refund for the reservation due to lack of evidence. All cancellation requests must be done through our platform if you would like to receive a refund (if there is one according to Host’s cancellation policy).  

Booking Termination by Hosts: if the Host determines in his sole judgment that you are violating any terms of the originally proposed agreement, he reserves the right without an advance notice to cancel your reservation if: you have created a disturbing atmosphere for other tenants or residents of the listed space; if you are causing damage to the property or property items; if you are causing physical harm to yourself and other residents of the listed space; if the reserved event does not meet originally agreed terms; if you have misrepresented certain information about yourself or the event description. Gozaak Inc. will determine further whether you are subject to a partial refund.

Conduct: Our goal is to provide a safe, healthy and honest environment for all Gozaak Inc. users. We encourage you to treat other people’s rental space, as you would like them to treat and respect yours. Gozaak Inc. is not responsible for the Guests performance and can not guarantee the safety, quality, legality, accuracy, reviews and other relevant material provided by Guests or Hosting parties.  

Guests are responsible for acting in good conduct and respecting the rented space. You (we will be referring to a “Guest” as “you”) are responsible for the following:

• For reading the Terms and Conditions listed under the listed space and abiding by them. 
• Those terms are applicable to all parties that will be present at the reservation. 
• Guests are expected to conduct themselves in a manner that is respectful and considerate of other guests, hosts, and the properties they are visiting. Any behavior that is disruptive, offensive, or violent will not be tolerated.
• If you are making a reservation or booking an event, you are solely responsible for the behavior of all guests and additional vendors that will be present at the rental space. 
• You are responsible for checking-in and out at the agreed upon time and you can not occupy the space for a longer period than booked unless you decide to extend your stay (if the host has the availability and confirms your extension.)
• You grant permission to a Host to enter the space if that was discussed in terms and conditions and agreed by both parties. 
• If you are booking an event, you are responsible that the event takes place in accordance with all local laws. If you need to acquire any additional permits or licenses to host an event, you are responsible for complying with all legal requirements. Any illegal activities or actions that violate the law will result in immediate termination of the booking and possible legal action.
• You are responsible for complying with all governmental orders that are concerning the health and safety of all people, such as COVID legal mandates. Gozaak Inc. can not be held liable and will not be responsible for any health and safety issues that will arise after hosting an event. 
• Guests are expected to follow any rules or guidelines provided by the host regarding the use of the property and its amenities. Any violations of these rules may result in additional charges or termination of the booking.
• You are responsible for any disturbances caused to other occupants, such as but not limited to: excessive smoke, unreasonably loud music, pet behavior, and etc. Please respect rules established by the Host and HOA community and do not disturb others.
• Guests are expected to keep the property in a clean and orderly condition. You are responsible for any damage done to the rented Space and/or property items during the Booking or Event hosting by you or any other guest that was present with you at the rental Space. Gozaak Inc. is not responsible for covering those damages. Gozaak Inc. is also not responsible for any insurance or legal claims that will be filed by the Host against the Guest. 
• You are responsible for returning the rental space in the condition agreed upon with the Host and meeting community guidelines described in the listing description. If the Host charged any extra fees for cleaning or other extra arrangements, the Host will be responsible for that.
• Guests are expected to promptly respond to any requests or communications from the host or GoZaak Inc, regarding their booking or stay.
• Guests are responsible for ensuring that any other individuals staying at the property during their booking comply with these Conduct clauses.

Privacy and Data Security

Every registered Gozaak Inc. user is solely responsible for handling and using personal data at all times and for complying with applicable data security laws. Every user agrees to act in compliance with applicable privacy laws which are described in more detail in our Privacy Notice. There you can understand how Gozaak Inc. uses your information and content uploaded on our website.

Gozaak Inc. collects your personal data through our Platform in order to identify a registered user and to connect with another registered user. When the booking occurs, Gozaak Inc. will disclose Guest’s and Host’s information intentionally in order to facilitate the contractual obligation between the parties. That would not be considered a violation of privacy notice. That personal data includes, but is not limited to: first and last name, address of the listed space, phone number, bank account, identification, and etc. Gozaak Inc. may also use your personal information for promotional purposes or for the improvement of our Platform and Services. To see the full list of data we collect, how we process that data and how we use it please refer to our Privacy Notice to learn more. If we notice any suspicious activity on our platform, such as a security breach, unauthorized access to data, bugs, etc. we will immediately notify you and will take all the necessary actions. 

If a third party or any local authority confirms that you are violating someone else’s privacy rights, Gozaak Inc. is not responsible for the consequences of the actions that could be taken against you. If a government authority requests Gozaak to disclose some personal information and has a legal court order or other document granting them the legal right to do so, we will have to abide by those orders and fulfill the request. We strictly advise you to follow our Privacy Notice and honor your legal obligations. Gozaak Inc. does not provide any legal advice regarding Privacy Notice. In case you have questions about how local laws apply, you should always seek legal advice on your own or conduct research further. Gozaak Inc. promises to comply with Privacy, Data Collection and Security laws in our jurisdiction. We also comply with the Payment Card Industry Data Security Standards to ensure that we process, store, and transmit your personal credit/debit card information in a safe manner. 

Neither party will be considered a provider of services, processor, custodian, representative, or agent of the other party in relation to the personal information that is shared as part of this agreement. However, if the applicable laws prohibit such actions, hosts must not disclose the personal information received from us in connection with this agreement without first giving the person to whom the information belongs to the opportunity to consent to such disclosure.

•  Termination of account

While you use the GoZaak inc. services, this Terms and Conditions agreement will continue to be in full force and effect. Without limiting any other provision of this Terms and Conditions agreement, we reserve the right to refuse access to and use of the site and the marketplace offerings to anyone for any reason or for no reason, including without limitation for violating any representations, warranty, or covenant contained in this Terms or of any applicable law or regulation (including without limitation by blocking specific IP addresses). At any time without prior notice and at our sole discretion, WE MAY TERMINATE YOUR USE OR PARTICIPATION IN All GOZAAK PLATFORMS AND THE MARKETPLACE OFFERINGS OR DELETE ANY CONTENT OR INFORMATION THAT YOU POSTED.

If a resolution hasn’t been found and GoZaak Inc. proceeds to terminate or suspend your account you are forbidden from registering and setting up a new account in your name, including a fake name, or the name of any third party, even if you could be acting on their behalf. We reserve the right to pursue appropriate legal action, including without limitation to seeking civil, criminal, and injunctive remedy, in addition to canceling or suspending your account. 

• Services:

Gozaak Inc. is an online platform that connects and facilitates booking services between users that are listing their space or offering host and vendor services with users who are trying to find the space for various occasions, a sport facility or book vendor services. Our Terms and Conditions agreements explains responsibilities of each party involved and also serves as a binding agreement between all parties involved. The following user categories are registered on our platform: 

1) “Hosts”: independent users that are listing their rental space, equipment or conveyance directly for Guest’s temporary booking services through Gozaak Inc. platform, including individuals, joint ventures, partners, or designated managers and agents that are responsible for managing the listing. 

· Any final booking transaction between a Hosts and a Guest must be completed on Gozaak Inc. platform exclusively, including any communication and payment processing between two parties. 

· Gozaak Inc. does not own, lease or endorse any rental spaces and the final booking decision is made directly between a Host and a Guest. 

· Gozaak Inc. acts solely as the payment collection agency that helps facilitate the booking transaction between a Host and a Guest.

· Gozaak Inc.’s Hosts reserve the right to accept or decline a booking. 

· Gozaak Inc.’s Hosts are responsible for providing a clean and safe environment for every Guest

· Gozaak Inc. Hosts are responsible for providing an honest description of the listing space, equipment or conveyance, including its rules, pricing and availability and other terms that are considered necessary in the description of the listed space. 

· After the booking requests is confirmed by a hosting party, the Host is entering in direct contractual agreement with the Guest and is fully responsible for accommodating the Guest after the transaction is complete and delivering the booking services, including but not limited to assisting in checking in/out, issuing keys, describing space rules and usage, giving a tour of amenities and facility, and etc. 

· Hosts are responsible for their personal property and automatically agree not to leave anything unsuitable in their inventory/rental space for Guests’ temporary booking: any important belongings or possessions should not be left unsecured and Gozaak Inc. can not be held liable for any damage or loss resulting from the Guest’s booking rental services via Gozaak Inc. platform. 

· In case of Guest’s complaints or dissatisfaction with provided Hosting services, the Host is responsible for resolving all reasonable complaints including, but not limited to: damage done on the property and to the inventory, pest problems, stained towels, etc.

· If you continue receiving complaints about your listing, it will be temporarily suspended from Gozaak Inc. platform until all complaints are resolved. 

· Hosts are fully responsible for providing full or partial refund to Guests in case of any unpredictable circumstances such as weather, accident, family emergency, etc., at their sole decision which is considered reasonable. Hosts and Vendors set their own prices and rules, use their own facilities and resources, and may apply additional conditions of use of Spaces or Vendor Services as they consider appropriate for their business. GoZaak reserves the right, but has no obligation, to intercede in disputes. 

· In case that a Host needs to cancel a non-refundable booking due to emergency circumstances, please notify Gozaak Inc. immediately so we could accommodate you further. 

2) “Guests”: users that are using the Host’s and Vendor’s services for temporary booking.

· Guests are required to act ethically and communicate with other Hosts or Vendors with respect and integrity.

· Guests are responsible for the payment of fees and booking services on Gozaak Inc. platform.

· Guests are responsible for choosing the rental space, equipment or conveyance and reserve the right to cancel the booking if they feel unsatisfied, uncomfortable or unsafe for any reasons with the booking. 

· In case of booking an event or arranging a space gathering of 2+ people, Guests are responsible for health and safety measures for all members, including Hosts and Vendors.

· Gozaak Inc. is not liable or responsible for any spread of infectious disease or condition, nor for the safety measures provided by the Guests.

3) “Vendors”: third-party entities that are offering other vendor services, such as food catering, photography, flower arrangements, bartending, security, marketing, etc. to Guests on our platform.

· Gozaak Inc. does not offer any vendor services or has any control over the Vendor services or the quality provided. 

· Vendors are fully responsible for performing Vendor services to their highest standard after the booking request is confirmed by Guest and Vendor. 

· Gozaak Inc. is not responsible or liable for any disputes, damages or complaints from Vendors and Guests. All reasonable complaints have to be resolved directly by Vendors and Guests.

· When using Gozaak Inc. platform, Vendors and Guests automatically agree not to hold Gozaak Inc. liable. 

OUR GOAL IS TO CONNECT THE ABOVE MENTIONED USER CATEGORIES AND HELP THEM COMPLETE THE BOOKING DIRECTLY WITH EACH OTHER. WHEN USING OUR PLATFORM, YOU ACKNOWLEDGE AND AGREE THAT GOZAAK INC. DOES NOT ENDORSE ANY USER OR THIRD-PARTY ON OUR PLATFORM, NOR DO WE OWN ANY RENTAL SPACE OR ITS INVENTORY OR ACT AS A BROKER. EACH USER ACTS AS AN INDEPENDENT CONTRACTOR THAT IS SOLELY RESPONSIBLE FOR THE COMMUNICATIONS, PAYMENTS, QUALITY AND UTILITY OF THE SPACE, AND INTEGRITY WITH WHICH THEY COMMUNICATE AND PERFORM TRANSACTIONS WITH OTHER GOZAAK INC. USERS. GOZAAK INC. IS NOT RESPONSIBLE FOR ANY INFORMATION CONTAINED IN ANY LISTINGS, INCLUDING BUT NOT LIMITED TO THE LISTING CONDITION, SAFETY, OR LEGALITY. THE BOOKING TRANSACTIONS ARE MADE AT THE USERS’ OWN RISK AND GOZAAK INC. CAN NOT BE HELD LIABLE. YOU ACKNOWLEDGE THAT THIS TERMS AND CONDITIONS AGREEMENT DOES NOT MAKE GOZAAK INC. YOUR AGENT, PARTNER OR CREATE ANY OTHER FORM OF JOINT VENTURE BETWEEN YOU AND GOZAAK INC. IF ANY PARTY DOES NOT FEEL COMFORTABLE, SAFE OR SATISFIED WITH EACH OTHER FOR ANY REASON, WE SUGGEST YOU IMMEDIATELY CANCEL YOUR TRANSACTION.

•  Intellectual property rights

(i) Each party retains all rights, titles and interests in and to its respective intellectual property, including but not limited to patents, trademarks, copyrights, trade secrets and other proprietary rights. (ii) The parties mutually grant each other a non-exclusive, non-transferable, limited license to use the other party's Intellectual Property solely to fulfill their obligations under this Agreement. (III) Each party shall not use the other party's Intellectual Property other than for the purposes permitted by this Agreement and shall not reproduce, distribute or disclose the other party's Intellectual Property to any third party without the prior written consent of the other party. (iv) Each party shall immediately notify the other party of any actual or alleged infringement of the other party's Intellectual Property and shall cooperate fully in protecting and enforcing the other party's Intellectual Property rights. (v) Gozaak Inc and each party shall indemnify and hold the other parties harmless from any claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of or relating to infringement of the other party's intellectual property rights by the indemnifying party, its employees, agents or subcontractors. (vi) Nothing in this Agreement shall be deemed a grant by either party of any rights in the intellectual property of the other party except as expressly provided in this Agreement. (vii) Each party shall comply with all applicable laws, regulations and treaties regarding intellectual property rights.(viii) This provision shall survive the termination of this Agreement.

Copyright and Takedown Notices

 Gozaak Inc. is a family friendly community that is built on trust, respect and honesty. We expect all of our users to act in accordance with our Terms and Conditions and respect the rights of each user. If you are posting content on our website, it is assumed that you have the full rights to post it.  

If you discover content on our platform or displayed somewhere else in connection with our platform that you believe violates or infringes yours or another party’s copyright, please contact us directly so we can investigate further. Providing additional evidence, will accelerate the investigation process for our support team and we will be able to notify you with the final decision regarding the Takedown Notice sooner. Gozaak Inc. reserves the right to share this information with other parties or law enforcement agencies if requested to help investigate the notice. The content will be removed once deemed infringing under the copyright laws and regulations of the country where the content was created. 

Gozaak Inc. reserves the right to suspend or permanently disable the account of a user who continuously violates property rights.

We also reserve the right to use your suggestions in the way deemed necessary to improve our platform, such as implementing it, modifying it, monetizing it, and etc. You agree and acknowledge that you refuse any monetary compensation (or any other compensation form, such as account credits, discounted fees, unlimited reservations etc.) for your recommendations. The feedback provided will be used for improvement purposes of the Gozaak Inc. platform and its services only. 

Use of Content

(i) By submitting, posting or displaying any content on our platform, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, adapt, publish, translate and distribute such content in any and all media or distribution methods (now known or later developed). (ii) You acknowledge that the platform and its original content, features and functionality are protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the platform without the express written permission by Gozaak Inc. (iii) You acknowledge and agree that we own all legal rights, titles and interest in and to the platform, including any intellectual property rights which subsist in the platform. You further acknowledge that the platform may contain information which is designated confidential by us and that you shall not disclose such information without our prior written consent. (iv) You acknowledge that the trademarks, trade names, service marks, and logos of Gozaak Inc., and any of its affiliates, are trademarks of Gozaak Inc., and you agree that you will not use or display any trademarks, trade names, service marks, or logos of Gozaak Inc. or its affiliates without the express written consent of Gozaak Inc.

• Using the platform

 When signing up for Goozak Inc. you agree and acknowledge that you are responsible for how you use our platform, the content you post, your account security, your Internet connection, and who is using your profile to browse our platform. You agree to abide by all applicable laws, privacy notice and terms and conditions listed on our website. Our policies may be subject to update and our platform may be subject to changes. Gozaak Inc. always sends notifications in case our policies get updated because we always work on improving our Services and user experience on our platform. Please keep in mind that any additional changes made to our terms and conditions on our platform will take precedence with respect to previous terms and conditions unless specified otherwise. We expect all of our users to act with respect and integrity towards each other. Do not attempt to hack, break or try to breach the security of our platform and its engineering. 

Proprietary rights, Ownership & Licenses 

Gozaak Inc. Ownership and License: All the content and materials provided on Gozaak Inc. website/Platform (with the exception of the third-party content) including but not limited to text, graphics, logos, images, and software, are owned by us or our licensors and may be protected by copyright, trademark, and other intellectual property laws. (subject to our copyright, trademark, trade secret, proprietary rights laws, federal and state laws of the United States. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform and its content and materials for the purpose of accessing and booking on the platform. You agree that you may not use the Platform or its content and materials for any commercial or unauthorized purpose. You may not copy, reproduce, duplicate, modify, sell, resell, license, publicly publish, or create any derivative work from our copyrighted content or any other written material used from our website or any portion of the Platform or its content and materials without our express written consent. All trademarks, service marks, logos, and trade names on the Platform are proprietary to us or our licensors and may not be used without our express written consent. You may submit content, including but not limited to reviews, comments, and photographs on the Platform. By submitting any content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or have the necessary rights to submit the content and that it does not infringe any intellectual property rights of any third party. You may not use the Platform for any unlawful purpose or in violation of any local, state, national, or international law and authority. You may not use the Platform in a manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform. You also agree that you may not use our intellectual property under any occasion and you may not display any portion of our site without any prior written consent from Gozaak Inc.

Restrictions and Prohibited Uses: 

Gozaak Inc. aims to create a healthy, safe, responsible and honest marketplace for all users. When you begin using Gozaak Inc. services and become our registered user, you agree to exercise good judgment, act in good faith and treat other users with respect.  

Gozaak Inc. is not responsible for the following content that is posted on our platform: 

1. Content posted by other users or third-parties. We try to monitor user activity and encourage everyone to avoid posting any discriminating and offensive content, which will result in you being permanently banned from Gozaak Inc;
2. Unlawful and misleading third-party content that is posted directly on our platform or through other site links is.

Gozaak Inc. prohibits you from using the platform in unauthorized, discriminatory, offensive and illegal ways discussed below, but not limited to:

1. Any nudity, porn or other sexually explicit content; 
2. Defamatory content;
3. Content that violates the use of our intellectual and proprietary rights;
4. Content that could be found offensive and discriminating ethically, racially, sexually or religiously by other users; 
5. Content that promotes drug use; content posted by users under the age of 18; 
6. Content that includes offensive language;
7. Images with offensive content; 
8. Content that includes advertising and other unsolicited information; 
9. Distribution of spam email to other Gozaak Inc. users; 
10. Content that promotes other services and violates the use of our platform; 
11. Content that shares credit cards, social security numbers and other private information that doesn’t belong to you (such as links to other websites not related or affiliated with Gozaak Inc.). 
12. Users are prohibited from using the online marketplace for any illegal or unauthorized purposes.
13. Users are prohibited from accessing, reproducing, duplicating, copying, selling, re-selling, or exploiting any portion of the online marketplace without the express written consent of the marketplace owner.
14. Users are prohibited from using the online marketplace for any commercial purposes or for the purpose of gathering data for commercial use.
15. Users are prohibited from engaging in any activity that may disrupt or interfere with the operation of the online marketplace, including but not limited to hacking, spamming, phishing, or any other malicious activity.
16. Users are prohibited from using the online marketplace to post or transmit any content that is discriminatory, racist, sexist, or otherwise offensive or harmful to others.
17. Users are prohibited from using the online marketplace to impersonate another person or entity, or to misrepresent their identity or qualifications.
18. Users are prohibited from using the online marketplace to engage in any activity that violates the rights of others, including but not limited to intellectual property rights, privacy rights, or contract rights.
19. Users are prohibited from using the online marketplace to engage in any activity that is in violation of any local, state, or federal laws.
20. Users who engage in any prohibited activity may be subject to legal action, and their accounts may be terminated without notice.
21. Gozaak Inc, reserves the right to modify this Prohibited Use policy at any time, and any changes will be posted on the online marketplace.

Our Platforms may only be used for the purposes that it is made for. The use of the Platforms for any commercial purposes other than those we have expressly permitted or supported is strictly prohibited.

You consent not to:

1. Attempting to impersonate another user or person or using another user's username.
2. Engaging in automated use of the system, such as using scripts to send comments or messages, or using data mining, robots, or similar tools to gather and extract information.
3. Engaging in unauthorized framing or linking to the Platforms.
4. Engaging in behavior that we consider detrimental to our reputation or the reputation of the Platforms.
5. Interfering with, disrupting, or creating an undue burden on the Platforms or its connected networks and services.
6. Attempting to upload or transmit any material that acts as a passive or active information collection mechanism, including clear graphics interchange formats, web bugs, cookies, or other similar devices.
7. Removing the copyright or other proprietary rights notice from any content.
8. Harassing, annoying, intimidating, or threatening any of our employees or agents involved in providing any portion of the Platforms offerings to you.
9. Misusing our support services or making false reports of abuse or misconduct.
10. Deciphering, decompiling, disassembling, or reverse engineering any software comprising or in any way connected to the Platforms, unless permitted by law.
11. Interfering with security features of the Site, including those that prevent or restrict the use or copying of content or enforce limitations on the use of the Platforms and its content.
12. Attempting to bypass any measures designed to prevent or restrict access to the Platforms or its content.
13. Collecting data or content from the Platforms without obtaining written permission from us to create a directory, database, compilation, or collection, either directly or indirectly.
14. Attempting to upload or transmit viruses, Trojan horses, or other harmful material, including excessive use of capital letters and spamming, that interferes with the use and enjoyment of the Platforms by others or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Platforms offerings.
15. Using information obtained from the Platforms to harass, abuse, or harm another person.
16. Attempting to deceive, trick, or mislead us and other users, especially in an effort to gain access to sensitive account information such as user passwords.
17. Making unauthorized use of the Platforms offerings, including collecting usernames and/or email addresses of users for the purpose of sending unsolicited email or creating user accounts through automated means or false pretenses.
18. Using the Platforms in a manner that is inconsistent with applicable laws or regulations.

You acknowledge and agree that you will not be posting any of the aforementioned content that would violate our Terms and Conditions. You also agree to:

1. To comply with any court order, law or regulation issued to you by local authorities; 
2. To honor any HOA or other property rules established in your community; 
3. To only represent yourself on a Gozaak Inc. platform;
4. To never impersonate someone else falsely or use their stolen identification to manage and operate an account under their credentials; 
5. To never violate someone else’s intellectual, contractual and privacy rights (for example illegally sub-leasing a property to a Gozaak Guest);
6. To never try or damage directly and indirectly our platform, including but not limited to: installing viruses, harmful codes, cyber attacks, hacking other users accounts and using other technical methods that could interfere and damage our technology;
7. To never harass and stalk other users;
8. To never complete booking transactions outside of our platform after you have completed a negotiating stage with a Host or a Vendor. All transactions have to be conducted only though Gozaak Inc. platform;
9. To never submit a false listing and inventory description, including providing a false rate that you will not be honoring or false service/space description to upsell your listing. 
10. To never post any content that could directly or indirectly violate restrictions in this agreement. 

If we notice any inappropriate behavior on your account, we reserve the right in our sole judgment to suspend and cancel your account permanently, or take any further action that we consider appropriate in response to your misconduct.

Content on the Platform 

When registering on Gozaak Inc. as a Host, Guest or Vendor Service, you will be asked to provide your personal information voluntarily. You will also be asked to publish “content” describing your listed space or vendor services (ex. photos, videos, reviews, pricing, listing description, availability dates, location, and etc. would be considered “content”) voluntarily. You agree to publish content on Gozaak Inc. that will meet our Terms and Conditions standards.  

You are responsible for ensuring that the content provided is accurate, up-to-date and does not violate any privacy and proprietary rights of a third party. If you are acting on behalf of a third party, you are responsible to obtain their permission to publish their content. You grant Gozaak Inc. permission, right and license to use, distribute, and publish your content that you have provided to us on our platform. We reserve the right to analyze the content for the purposes of platform improvement. If you do not agree to above mentioned conditions, or do not intend to use Gozaak Inc. for the purposes it is designed for, such as browsing space listings, event bookings, space hosting and etc., please do not provide Gozaak Inc. any content or use our platform for the purposes it is intended for.  

You acknowledge and agree that your submitted content may be subject for review and approval by Gozaak Inc.’s support team. Gozaak inc. reserves the right to review, edit, and refuse to publish any content that violates our Terms and Conditions, and Privacy agreements. Gozaak Inc. can not guarantee and can not be held liable for the accuracy of published content on our platform. You are responsible for the provision of the latest content, because any inaccurate content can impact your Hosting/Vendor ranking and reviews. Gozaak Inc. can not be held liable for any losses resulting from inaccurate content posted on our platform. Gozaak Inc. can not be held liable for any damages, losses or any legal actions taken by any third party which claims that the content provided on our platform violates their privacy and proprietary rights. You agree to indemnify and hold Gozaak Inc. harmless in such a case, and you also agree to waive any privacy and proprietary rights to illegally owned and represented content. 

Any Gozaak Inc. user reserves the right to report any activity or communication on our platform that you believe violates any of the provisions of our Terms and Conditions or Privacy agreements. Please immediately contact us through our “contact us” page , so we can investigate that matter further. If we notice any suspicious activity on your account, or receive a complaint from a user or a third party, we reserve the right to request additional information that will help us validate your account and verify the accuracy of your listed space. The requested information might be the following, but not limited to: personal identification, business information, listing ownership, building management contract, deed, certifications, management contract with a third party, and others. If you fail to provide us with any evidence we requested in a timely manner, Gozaak Inc. reserves the right to temporarily suspend or permanently terminate your account, cancel any current or future bookings and withhold any payments received. If a Host or Guest breaches his/hers obligations under this Non-Circumvention provision, the breaching party shall pay GoZaak Inc. an amount equal to one-fourth of the subtotal of the relevant booking.

•  Mobile application terms

App Updates and Upgrades. You consent to automatically receive updates or upgrades to the application (“App”) without providing further consent each time. The App (including any updates or upgrades) may: (i) cause your device to automatically communicate with our servers to deliver the functionality described in the App description or through new features as they are introduced, and to record usage metrics; (ii) affect preferences or data stored on your device; and (iii) collect personal information as outlined in our Privacy Policy. We are not responsible if an updated version or upgrade affects how the App functions if the issue is caused by your own equipment or if the device is not supporting the update or upgrade. If you do not agree to use the most recent update, feel free to contact us and we will delete your account.

Using Gozaak Inc. services

When submitting your content on Gozaak Inc. services you automatically agree that you are giving us perpetual, royalty-free, worldwide license to use, post, share, sell, distribute, and display such content on our platform. We reserve the right in our sole discretion to edit, remove or delete any content that you have posted on our platform and that we believe violates our Terms and Conditions.

Your account

  In order to use all Gozaak Inc. services, you must register on our platform. You must be at least 18 years of age to register on our platform. We allow individuals, LLCs, partnerships and all other types of entities to register on our platform as long as you guarantee that you will be using Gozaak Inc. services under applicable laws of the United States, or any applicable jurisdiction that you reside in. Gozaak Inc. is not responsible for providing civil or criminal background checks for each registered Gozaak Inc. user. While Gozaak reserves the right to conduct additional screenings on users, which may include background checks, GoZaak Inc. does not do so in all cases.You must provide accurate, honest, up-to-date, and complete information during registration and you can only create one account per user. 

 Gozaak Inc. is not responsible for the security and confidentiality of your account. We respect your privacy and will never sell or disclose your information to a third-party. If you notice any suspicious activity on your account (such as stolen passwords, messages to other users that you have not sent, and etc.) or believe that your account has been compromised, please notify Gozaak Inc. immediately so we could prevent any further damage and begin investigation. If needed and permitted by law, Gozaak Inc. may ask you to provide additional identification to confirm your identity, obtain public records of criminal and civil convictions or their equivalents, and may take other actions to resolve that matter. 

 Gozaak Inc. reserves the right to take the following actions against your account without any liability or advance notice if we consider your account suspicious or your conduct harmful to other users:

· Suspend your account at any time;

· Terminate access to your account at any time permanently or temporarily;

· Deactivate and delete your account permanently;

· Permanently ban you from using Gozaak Inc. platform.

If you would like to permanently delete your account from Gozaak Inc. or you believe that you have registered by accident, please email us directly and we will disable your account permanently. 

•  User content representation and warranty

By submitting any content, including but not limited to text, images, videos, or other material, to the online marketplace, you represent and warrant that:

(i)You are the owner of the content, or have obtained all necessary rights and licenses to use the content, and have the right to grant the licenses granted in this agreement. (ii) The content does not infringe any intellectual property rights, including but not limited to patent, trademark, trade secret, copyright, or other proprietary rights, of any third party. (iii) The content does not violate any law, regulation, or ordinance, including but not limited to those related to consumer protection, unfair competition, false advertising, or the export of data or software. (iv) The content is accurate, current, and complete, and does not contain any false, misleading, outdated or offensive information. (v) You will indemnify and hold Gozaak Inc. and its affiliates, officers, agents, and employees harmless from any claims, damages, and expenses, including reasonable attorneys' fees, arising from your breach of any representation or warranty. (vi) Gozaak Inc. reserves the right to remove any content that violates these representations and warranties, or that it deems inappropriate, offensive, or in violation of the terms of this agreement.

Insurance

You agree and acknowledge that you are solely responsible for acquiring and maintaining your own insurance that is suitable for your type of listing and as required by Law. You are responsible for choosing the best insurance type and coverage plan that you believe will be appropriate. You are solely responsible for submitting and maintaining all insurance claims and disputes between you and the other party. You are also responsible for evaluating the damage that has been done to your listing or property items, injury or physical harm, and any other damage/harm done to you or any party involved. In case that you fail to maintain your own insurance, Gozaak Inc. will not be held liable and can not provide you with supplemental insurance. 

Gozaak Inc. does not provide insurance for Hosts, Vendors or Guests at the moment. You could choose to add renters' or homeowner's insurance to your property to add extra coverage to your listing and to alleviate your mind. If so, speak with your insurance company for further details. We may offer insurance in the future for our users through our third parties, but currently we do not have an insurance agency that we work with. If Gozaak Inc. decides in its sole discretion to obtain supplemental insurance you will be able to submit claims through that insurance and take advantage of all insurance products offered by that company.

Reviews 

Every registered Gozaak Inc. user reserves the right to share their experience and post a review after the reservation has ended and both parties have fulfilled their contractual obligations between each other. Guests, Hosts, and Vendors have an opportunity to review each other without any offensive or discriminating language. Please be respectful to other users and provide an honest and accurate review based on your booking experience. Gozaak Inc. has a right to remove fake and incorrect reviews. If you believe that you have received inaccurate reviews, please contact us and Gozaak Inc to dispute it. 

Corrections

Some listings may contain typographical mistakes, inaccuracies, or omissions that may pertain to the Marketplace Offerings. This includes information on descriptions, prices, and availability, among other things. If some are detected we retain the right to contact you, alter, or update the information on the platform at any time, without prior notice, in order to address any mistakes, inaccuracies, or omissions.

Fees and Taxes charged by Gozaak Inc.

 Service Fee: Gozaak Inc., DOES NOT charge a guest service fee. note: that guest fees are subject to change at any time. Guests acknowledge and agree that the service fee is non-refundable unless cancellation policies are obeyed, guests can expect full refund. This fee will be charged at the time of booking. Hosts also acknowledge and agree that a portion of the service fee will be retained by GoZaak Inc, as compensation for the use of our platform and the services we provide. The host fee is from 9-15%, “please note: fee may vary due to the day of the booking time of the booking, total amount and the location of the Space being booked. The service fee may be subject to change at any time, and GoZaak Inc, will provide notice of any changes in a timely manner. Guests and Hosts agree to pay the service fee as a condition of using our platform and booking or listing a space, equipment or conveyance. The service fee helps our platform function and provides the necessary resources and support for our team to continue maintaining and improving the platform for our users. This fee also helps cover operational costs, such as secure data processing, marketing, customer service, platform maintenance and technology development. The service fee is a non-refundable charge that will be added to the total cost of the booking and will be clearly disclosed to the user before the final confirmation of their reservation. By using our platform and accepting a booking, the user agrees to pay the service fee as part of the total cost of their reservation through GoZaak Inc.

Booking Fee: When signing up for Gozaak Inc. platform and by using our services, you will be required to provide a payment method to activate your account and to be able to book services. You agree and authorize Gozaak Inc. to charge your preferable payment method and agree to our Terms and Conditions. You can provide Gozaak Inc. with a valid debit or credit card that must be active and up-to-date, Paypal, or any other method offered on our platform. Gozaak Inc. booking fee and reservation fee will be deducted immediately. If your card gets declined you will not be able to complete the booking transaction. You are responsible for providing a payment method that will work.

Cancellation Fees: In case a Guest cancels booking in advance (cancellation notice can be customized by a Host or a Vendor in the description of their services), Gozaak Inc. will issue a full refund to a Host or a Vendor via direct payment method that was used originally to make a payment. If a booking is canceled within applicable time. 

Changes in service Fees: If Gozaak Inc. changes its booking fees or other fee structures you will be notified in advance via email. An update will be posted as well on our Terms and Conditions agreement. If you don’t want to accept such changes, you will not be able to use Gozaak Inc.’s services. Please contact us and we will disable your account. 

If you have any questions about Gozaak Inc. fees, Host fees, reservation fees or other types of fees that occurred during reservation, or believe that your account has been charged incorrectly you agree that first you will discuss that dispute directly with Gozaak Inc. team and will not cancel the transaction directly with your bank or credit card company to avoid any charge back fees. We will do our best to work towards resolution as quickly as possible. 

Taxes: You are responsible for filing and calculating your own taxes based on the laws in the jurisdiction you reside in. Gozaak inc. is here solely to facilitate the booking transactions between Guests, Host and Vendors and we are not responsible for determining your tax requirements and tax reporting. Neither do we offer tax advice to any of our users and recommend consulting your accountant. 

•  Responsibility for transactions and payments

Users are solely responsible for all transactions and payments made through the Gozaak Inc. online marketplace. (i) The user must be authorized to use the payment method and must ensure that all transactions and payments are accurate, complete, and in compliance with applicable laws and regulations. (ii) The online marketplace provides a platform for users to make payments for goods and services purchased through the platform. The online marketplace is not responsible for any errors or mistakes made in the payment processing. (iii) The online marketplace reserves the right to verify any payment made through the platform and may request additional information from the user to do so. If the online marketplace is unable to verify the payment, it may suspend or terminate the user's account. (iv) The user must resolve any disputes with the seller regarding refunds or chargebacks. The online marketplace is not responsible for resolving disputes between the user and the seller. If the user requests a refund through the platform, the online marketplace may assist in the dispute resolution process, but it is not obligated to do so. (v) The online marketplace makes no warranty, express or implied, regarding the accuracy, completeness, reliability, or availability of any information related to transactions and payments. (vi) The online marketplace is not liable for any damages arising from transactions and payments made through the platform, including but not limited to errors in payment processing, disputes between the user and the seller, or fraud. The online marketplace's liability is limited to the amount of the transaction, and it is not responsible for any indirect, incidental, or consequential charges and damages.

Cancellations and Refund Policy

Gozaak Inc. is not liable for Cancellation and Refund policies to each listing and space individually. When booking your space, listing or event please read carefully the “Cancellation and Refund Policy” provided by the Host or Vendor before you finalize a booking and make a payment. That refund policy serves as part of the legal agreement between you and the host. After you complete the booking, the cancellation policy can be found further in your confirmation and listing details. Typically, the time for cancellation deadline, check-in, check-out and date will reflect the local time zone of the listing, unless specified otherwise by the Host.  

We understand that sometimes things happen and you might need to cancel your reservation. To accommodate both Hosts and Guests, we have created different types of cancellation policies. If you believe that you might need to cancel your booking or leave the trip earlier, we suggest booking a listing space with a flexible cancelation policy. Please read below to learn more about different types of cancellation policies that Gozaak Inc. offers.

Cancellation Policy for Hosts and Vendors:

• Flexible (48 hour policy): 

Guests can cancel until 48 hours before check-in to receive a full refund and the Host won’t get paid.

• Moderate (30/2 day policy): 

Guests have to cancel at least 30 days before to receive a 100% refund for the reservation.

Guests have to cancel between 2 days and 30 days before the check-in and receive a 50% refund of the reservation.

If Guests cancel within 48 hours of the check-in time, the Host will receive a 100% payment for the reservation.  

• Non-refundable (no refund): 

Booking space with this Host is non-refundable. 

• Custom Policy (by Host)

The cancellation rules for custom policy may not apply to all listings. For custom policies, other cancellation terms and fees can be applicable. In most cases, you can examine these terms directly on the booking’s listing page. Kindly contact the host directly to inquire about their cancellation policies if the policy isn't visible.

Exceptions to Cancellation and Refund Policy for the Guests: 

The Host’s cancellation and refund policy may be overridden and the Guest shall receive a full refund if one of the following conditions is met:

• If the space is dirty and dangerous upon arrival; 
• If you can not access the space for over 1 hour; 
• If you find animal/animals that have not been mentioned in the listing description;
• If you have submitted an urgency message regarding serious matter upon arrival to the Host and the Host hasn’t replied back within 24 hours;
• If the Host won’t help to resolve the serious matter;
• If you need to cancel due to Force Majeure. (Please refer to that section).

Disclaimers

When using Gozaak Inc. you acknowledge and agree that you will be using our platform at your own risk. All the information provided on Gozaak Inc. is provided “As Is” to the fullest extent permissible by law and without any warranty or guarantee. When registering on our platform you agree to provide accurate, honest and up-to-date information about yourself, designated account user, property space, Vendor or Host services. 

You will not hold Gozaak Inc. or any Gozaak Inc.’s affiliate responsible for any content provided in any language by any users on our platform. You acknowledge and agree that Goozak Inc. does not own any rental space, does not endorse any rental space, and does not control the conduct of Guests, Hosts and Vendors. All Guests, Hosts, and Vendors are independent Gozaak Inc. users. We are not responsible for the condition without limitations of any listed space, for the accuracy of the listed space’s description, for Vendor or Host Services, or for listing pricing. Gozaak Inc. is not responsible or liable for misconduct, intentional negligence or criminal activity from all users or third-parties. Gozaak Inc.is not responsible for any physical damage occurred to you during an event or at rented space. Booking an event or rental space may carry risks, and when using Gozaak Inc. platform you understand, assume and agree voluntarily that such risk exists and you will not hold Gozaak Inc. liable for such events as illness. injury, disability, death, and other harmful to your health situations. When using Gozaak Inc. services you assume the aforementioned risks freely and agree to never hold Gozaak Inc. liable. You are fully responsible for your own health and the health of other users. When completing the booking on Gozaak Inc. platform you agree that you do not have cough, fever, COVID-19 symptoms (including you have not tested positive for COVID-19) or any other illness that could be contagious, transmitted and harmful to others. In case if a Host or a Guest, or any other party involved in the booking transaction who was present during the event and becomes exposed to COVID-19, or other contagious virus, all parties agree to release and hold each other and Gozaak Inc. harmless from any liabilities or legal claims that occurred from such illness, injury, disability, death or other harm intentionally or unintentionally. 

 Gozaak Inc. will do everything we can in our legal power to provide a safe, honest and healthy environment for all users. We reserve the right to monitor the use of our platform; to verify each registered user; to edit our content in order to improve the Gozaak Inc. platform; to secure our platform and constantly monitor its activity for fraud prevention; to investigate account and user in case of court order or any law enforcing agency; to monitor user dispute claims; to check whether a user is truly compliant with our Terms and Conditions; to address any harmful and discriminating content; to maintain high standards of listings; to address any emergency situations; and etc. We are not responsible for performing criminal or civil background checks on our registered users, although we reserve the right to do so at any time. You acknowledge and agree without limitation to cooperate with Gozaak Inc. and provide per reasonable request any additional information to resolve certain matters during ongoing investigation regarding the use of our platform or ongoing dispute with another user. 

When using Gozaak Inc. you acknowledge and agree that we do not have guarantee over the safety of any financial transactions completed between our users. Gozaak Inc. is not a collecting agency, except for when the booking transaction is confirmed and complete between users. Furthermore, you acknowledge and agree that we do not have guarantee or control over the description and accuracy of rental space. If you book a listing outside of the United States, you acknowledge that you will be traveling under your own risk and Gozaak Inc. can not be held liable for any damages or incidents occurred during traveling or reservation itself. 

•  Disclaimer of warranties for user content

Gozaak Inc. is not responsible for any breach of security associated with transmitting sensitive information to third parties even if we become aware of such breach. We do guarantee that the Gozaak Inc. site, application or the server is free from viruses or other harmful bugs. Furthermore, you agree that any communication, transaction or transmission through GoZaak Inc. platform can not be confidential. For example, your reviews, your listing description, your communications with another user, your content posted on our platform and other user-contributed content would be read by others and is not considered confidential. 

Gozaak Inc. disclaims that all materials and content contained on the website will be error, defect or virus free; that any content provided on our website will never cause harm; that the information provided by Hosts, Guests or other Vendor services is accurate.

Limitation of Liability 

When you begin using Gozaak Inc. you agree, acknowledge that you have been advised of possible risks arising with booking rental space or use of our platform and you agree to never hold Gozaak Inc. or its affiliates liable for any direct or incidental damages of any kind. We are not liable for any damages of the following kind but not limited to:

· Harm or damage to a user that occurred during a booking event;

· Harm or damage by one user or another, or harm or damage caused by, but not limited to, by third party; 

· Harm or damage to rental space and its inventory;

· Unauthorized access to your account; 

· Conduct by Gozaak Inc. user in connection with the use if our services;

· Content posted by Gozaak Inc. user;

· Review posted by Gozaak Inc. user; 

· Communications between Gozaak Inc. users;

· Emergency cancellations;

· Failure to use Gozaak Inc services caused by events out of our reasonable control, such as power outage, internet loss, and other events of such nature.

If you believe that a Guest has acted inappropriately, including but not limited to, stealing inventory, damaging property, exhibiting offensive behavior, exhibiting descriminating or sexually inappropriate behavior, or other conduct you must report such misconduct immediately to the appropriate authorities in the jurisdiction a misconduct has occurred. You can further inform Gozaak Inc. about the action you have taken against another user, provided that your information (such as police report) does not obligate Gozaak Inc. to take any liability beyond what (if any) will be required by law. 

US Jurisdiction

This Terms and Conditions agreement is created in accordance with laws of the United States in the state of Florida and without regard to conflict-of-law principles. When agreeing to our Terms and Conditions you automatically follow the laws of the United States. Any action brought against Gozaak Inc. will be discussed in the court of Florida, United States. 

Non-US users

Gozaak Inc. Terms and Conditions agreement is applicable to the laws of the State of Florida, USA without regard to conflict-of-law provision. . However, Gozaak Inc. platform can be used outside of the United States. If you reside outside of the U.S. or your listing is outside of the U.S., and it is your sole responsibility as Gozaak Inc. user to make sure when using our Services that you comply with all Laws specific to your country. If required by U.S. law, we may require you to provide tax information or your tax exemption to assist with Tax filing. Any conflicts, disputes or small claims between users can be resolved in small claims court in the jurisdiction that you reside. 

•  Limitation of liability for transactions and payments

(i) In no event shall Gozaak Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from but not limited to: (1) Your access to or use of or inability to access or use the online marketplace; (2) Any conduct or content of any third party posted on the online marketplace, including without limitation any defamatory, offensive or illegal conduct of other users or third parties; (3) Any content obtained from the online marketplace; or (4) Unauthorized access, use or alteration of your transmissions or content, transactions and payment(ii) Although the online marketplace is constantly updated and improved it is provided “as is”, without warranty of any kind, either express or implied. Without limiting the foregoing, Gozaak Inc. explicitly disclaims any warranties of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement, and any warranties arising out of course of dealing or usage of trade. Gozaak Inc makes no warranty that the online marketplace will meet your requirements or be available on an uninterrupted, secure, or error-free basis. (iii)Indemnification: You agree to indemnify, defend and hold harmless Gozaak Inc, its directors, officers, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (1)Your use of and access to the online marketplace; (2)Your violation of any term of these terms of service; (3)Your violation of any third party right, including without limitation any copyright, property, or privacy right; or (4) Any claim that your content caused damage to a third party. (iv) If you have a dispute with one or more users, you release Gozaak Inc (and its officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising from or in any way connected with such disputes. (v) The liability of Gozaak Inc to you or any third party in any circumstance is limited to the amount of direct damages actually incurred by you or the third party; the amount must not exceed the total fees paid or payable by you to Gozaak Inc for the current booking dispute prior to the action giving rise to liability. In no event shall Gozaak Inc be liable for and not limited to any indirect, punitive, incidental, special, or consequential damages, lost profits or revenue, loss of use, or loss of data. Gozaak Inc shall not be liable for any damages arising from the loss of use, interruption of business, or any other consequential damages.

•  Exclusion of consequential or incidental damages

Under no circumstances shall Gozaak Inc be liable for any consequential, incidental, special, or indirect damages arising out of or in connection with the use of the Gozaak Inc platform or services, including but not limited to, damages for loss of profits, business interruption, loss of business information, or any other pecuniary loss, even if Gozaak Inc has been advised of the possibility of such damages. This limitation of liability applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, and even if Gozaak Inc has been advised of the possibility of such damages.

Right to Amend 

Gozaak Inc. reserves the right to amend this Terms and Conditions Agreement at any time. This Agreement can be modified if Gozaak Inc. decides in sole judgment to install new and necessary technological upgrades to our Platform, which will help improve our Platform performance and improve customer experience. Also, this Agreement will be updated in case of legal changes, such as new legislation or court order issued by local government authority. Gozaak Inc. has to amend the Terms and Conditions clauses to comply with the new legislation if they are considered invalid or insufficient.  

In case of Agreement alterations, all our users will be notified via email. The updated Terms and Conditions Agreement will be available on our website. Please be aware, that the latest amended version shall supersede and replace all prior Agreements written by Gozaak Inc. If you are continuing to use our services after being notified of the change, you automatically agree and accept the latest version of the Terms and Conditions Agreement. If you don’t agree with the revised version, please notify us and we will assist you in closing your account permanently.

Indemnification 

You will indemnify, defend, pay and hold GoZaak Inc. (and each of our officers, managers, directors, employees, shareholders, partners, attorneys, third party affiliated, and any one that identifies as “Gozaak Inc. Affiliate”) harmless from and against all third-party claims, complaints, demands, damages, losses, expenseses, proceedings, liabilities, causes of action, costs, and legal expenses (such as legal fees, attorney fees, disputes between users listing their spaces, “Hosts”, and users booking the spaces, equipment or conveyance or anything other services from our platform, “Guests”, disputes regarding listing your space, and any other conflicts related to you, if true, breaching this Terms and Conditions contract). In the event of you having a dispute with another Gozaak Inc. user, including without limitation, any disputes regarding financial and booking transactions between a “Host” and a “Guest”, disputes with Gozaak Inc.’s third-party vendor that help us fulfill our part of contractual obligation to you, any social links, any content that you post on our website or social links, any additional websites links that are listed on our platform, you hereby agree to indemnify, release and hold each Gozaak Inc. affiliate harmless from any and all liabilities and costs arising from the claims out of you using Gozaak Inc. platform or anyhow related to conducting business on our platform.

The limitation of liability above applies to the fullest extent permitted by law and you will assist us with any settlements and disputes at your expense. Gozaak Inc. reserves the right to assume the control of any matter, and that any matter is subject to indemnification and must be settled with our written consent. You will be responsible for any attorney fees and costs as required in the defense of any claim. 

You agree to protect, defend, pay for, and hold harmless GoZaak and its affiliates (which includes agents, directors, shareholders, members, partners, managers, officers, employees, information providers, distributors, vendors, attorneys, or affiliates) from all third-party claims, losses, damages, and related expenses (including reasonable legal expenses) that may arise from or be related to: 

  i.    Your provision of inaccurate or incomplete information to us;     

ii.    Any content you provide through the Gozaak platform;

 iii.    Your breach of any representations, warranties, or obligations under this agreement; 

 iv.    Your provision of your space (for Hosts), Vendor service (for Vendors), use of spaces or vendor services (for Guests)  

 v.    Your failure to follow Gozaak Inc.’s terms and regulations (such as Terms and Conditions, Privacy Agreement, and etc.) and other legal laws that govern our business; 

 vi.   Any contract or other agreement between you and any other user outside of the platform;

 vii.   Any bodily injury (including death) or damage to tangible or real property caused by you or your guests;

This limitation of liability applies to the fullest extent allowed by law. This indemnification will continue even after this agreement has ended; 

Force Majeure, Cancellations

Gozaak Inc. is not responsible for any force majeure situations or cancellation caused by situations beyond our reasonable control, such as acts of war, terrorism, riots, natural disasters, criminal acts (e.g. theft, robbery, mass riots), pandemics (e.g. COVID), epidemics, death, government travel restrictions, fire, and many others. You understand and agree that such force majeure and unforeseen events will prevent Gozaak Inc. from fulfilling our contractual obligations with the users and release Gozaak Inc. from fulfilling our contractual obligations when circumstances are beyond our control and are impeding us from fulfilling our duty. 

If you believe that your cancellation of reservation was caused by other circumstances other than force majeure, then your cancellation might be subject to our Cancellation and Refund Policy. Please submit your request to our support team and we can review it further. 

Neither party shall be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including, but not limited to, acts of nature, war, terrorist acts, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation, fuel, energy, labor or materials. The party affected by such an event shall promptly notify the other party of the nature of the event within 3 days and extent of such event and shall use its reasonable efforts to minimize the impact of such event on the performance of its obligations under this Agreement. If such event of force majeure continues for a period of more than 90 days, either party may terminate this Agreement upon written notice to the other party.

•  Termination by the online marketplace

We reserve the right to terminate your use of the Online Marketplace at any time and without prior notice if you violate any of the terms and conditions of this agreement, or if we suspect any fraudulent or illegal activity associated with your account. Upon termination, you will no longer have access to the Online Marketplace and any outstanding payments or transactions will be immediately due and payable. We also reserve the right to terminate your account if your use of the Online Marketplace is causing harm or disruption to other users or if you have breached any of the terms and conditions of this agreement. We may also terminate your account if you have been inactive for an extended period of time or if we are required to do so by law.

•  Termination by users

You may terminate your account at any time by providing written notice to us by email at info@gozaak.com and we can help you with the process or if you wish you may do so yourself at your sole decision. Upon termination, your account will be deactivated and all of your data and content may be deleted permanently. If your account is terminated, you will not be eligible to use our services and will not have access to your data and content. Termination of your account will not affect any of your obligations to us under this agreement, including any payment obligations. If you terminate your account, you will no longer be entitled to receive any benefits or services associated with your account. You acknowledge and agree that termination of your account may result in the loss of access to certain content and data, and that we will not be liable for any such loss. If you wish to reactivate your account after termination, you may do so by contacting us by email at info@gozaak.com, although in some cases we may not be able to reinstate the account, we will offer our best help.

•  Effect of termination

Upon termination of this Agreement for any reason you shall immediately cease all use of the online marketplace and any related services provided by the marketplace. Any termination of this Agreement shall not affect the rights and obligations of the marketplace arising prior to the date of termination. Any provisions of this Agreement that, by their nature, should survive termination shall survive termination, including, but not limited to, ownership provisions, warranty disclaimers, and limitations of liability. Any outstanding payments or fees owed by you to the marketplace shall be due and payable upon termination of this Agreement.

Disputes between users

If you begin a dispute with another user, Gozaak Inc. encourages you to try and resolve the dispute in good faith between one another first. You can do so by communicating on Gozaak Inc. platform and before submitting any claims. 

If the Host still hasn’t responded in the first 24 hours after being notified by the Guest through Gozaak Inc. platform and does’t not want to resolve the dispute mutually, you have 48 hours to submit a claim to our Gozaak Inc. support team upon arrival if: in your reasonable judgment your experience has been negatively impacted; you are dissatisfied with the condition of the listing; you want to report a damage; you don’t feel safe; you are unable to get in the listing; a false listing description has been placed; or you would like a refund for your booking. Please make sure to provide all the relevant evidence including the images of the space, screenshots of the conversations, and other supplemental information so our team can begin reviewing your dispute immediately. Once we find the evidence sufficient, we will notify the other party about our final decision.Gozaak Inc. does not provide insurance for the listings. We hope that both parties will act in good faith and will assist Gozaak Inc. in this process resolution between Hosts and Guests. You grant the right to Gozaak Inc. to collect the payment and to participate in this mediation process if we determine in sole discretion that the other party is indeed responsible for the damages. The dispute resolution process conducted by us is free of charge.

You agree and acknowledge that Gozaak Inc. waives the right to the fullest extent to participate as a plaintiff, or any class member representative in the class action lawsuit between Guests and Hosts or in any other legal proceedings.You agree and acknowledge that Gozaak Inc. also waives the right to trial by jury as to all arbitrable disputes. However, Gozaak Inc. will try to accommodate our users (both Guests and Hosts) in dispute resolution.

Class Action and Jury Waiver

Regarding any arbitrable Disputes, You and GoZaak Inc accept and acknowledge that we are each waive the right to a jury trial.

• Conflict of Rules

In the event of any conflict or inconsistency between the terms of this agreement and any other rules or policies of the online marketplace, the terms of this agreement shall govern and control. Any provision in the other rules or policies which is inconsistent with the terms of this agreement shall be deemed inapplicable to the extent of such inconsistency. In case of any ambiguity or doubt, the interpretation of this agreement shall prevail over any other rules or policies of the online marketplace.

• Confidentiality of Proceedings

Your privacy and confidentiality are our priority. Therefore, Gozaak Inc. will maintain the results of the dispute confidential unless required by Law. You also agree to maintain confidentiality of all the proceedings, results, evidence, and communications of all participating parties. 

• EU Online Dispute Resolution 

If you are a consumer located in the European Union, you can use the European Commission's Online Dispute Resolution platform at their website to resolve any disputes.

Entire Agreement 

Gozaak Inc. Terms and Conditions Agreement and all other policies listed on our platform, such as Privacy Policy, and Cookie Policy, constitute the entire agreement between Gozaak Inc. and you, the Gozaak Inc. user pertaining to the use of our services and platform features. The latest version of the Agreement will always supersede all of the previous written agreements between you and Gozaak Inc. The Agreement is meant to govern and protect everyone’s rights while using our Platform and services. Please note that in this Terms and Conditions Agreement we may use different terms that can be interpreted similarly and will not affect the interpretation of the clause. For example, such terms as “will” connotes an obligation as “shall;“including” connotes an obligation as “including, but not limited to”; and etc. 

Terms Modification

· The terms of use, as well as any related policies or operating rules that we have posted on our platform, including any of our products or connections with the marketplace offerings represent the entire agreement between you and Gozaak Inc.. We reserve the right to exercise and enforce any of the rights or provisions outlined in these Terms and Conditions at any time. And these Terms and Conditions of use apply to the fullest extent allowed by law. We reserve the right to transfer any or all of our rights and responsibilities to others at any time. We will not be held responsible for any losses, damages, delays, or failures to act that are beyond our control. If any part of this Terms and Conditions agreement of use is found to be invalid or unenforceable, that part will be removed and will not affect the validity of the remaining provisions. These terms of use do not create a joint venture, partnership, employment, or agency relationship between you and us. You agree that these terms of use will not be interpreted against us because we drafted them. You also waive any defenses you may have based on the electronic form of these terms of use or the lack of signatures (written or electronic) from the parties involved.

Severability

 Gozaak Inc. reserves the right to modify this Terms and Conditions Agreement if any clause is found to be invalid or unenforceable to the extent permitted by applicable law. If the clause is unable to meet the new legal requirements and is found to be unenforceable and invalid, it will be modified in the Agreement and will not affect the validity and enforceability of the remaining clauses. Once the modifications are made to the extent necessary to make the provision enforceable, we will post the most recent update immediately on our platform and will send the email notifying all of our registered users. You can also see when the Agreement was lastly updated on the Terms and Conditions Page. If you disagree with the revised Terms and Conditions you may contact us directly and we will permanently delete your account. If we don’t receive any communication from you, that means you automatically agree and acknowledge the new Terms and Conditions Agreement and will continue using Gozaak Inc. platform and all of its services.

•  Waiver

We will not waive any rights or provisions in the agreement unless we explicitly agree to do so in writing. If either party exercises any of their remedies under the agreement, it does not affect their ability to use other remedies under the agreement or as allowed by law, except as stated in these terms.

No Assignment

Gozaak Inc. reserves the right to assign the rights granted to you in this Terms and Conditions Agreement without any restriction or obligation at its sole discretion with a 14 days prior notice. In case of a business transaction that requires Gozaak Inc. to transfer the rights, we will do so and make sure that all parties’ involved have their interests met. You can not assign any rights granted to you by Gozaak inc. without a written consent from Gozaak Inc. received prior. An attempt to do so without our written consent will be considered invalid and not enforceable.

•  No third-party beneficiaries

This Terms and Conditions Agreement is valid to give rights and remedies between Gozaak Inc. and the parties involved only. We will never grant the right to any other beneficiary other than the ones listed in this Agreement. intended to extend to any other individuals.
